Contractor Membership Agreement

This Contractor Membership Agreement (“Agreement”) is entered into between Trusted Home Network, LLC (“THN”) and the undersigned Contractor (“Contractor”) and becomes effective on the date Contractor is approved as a THN Member.

  1. 1. Purpose

    Trusted Home Network is a contractor membership and homeowner referral platform designed to connect homeowners, homeowners’ associations (HOAs), and property managers with independently owned contractors who have successfully completed THN’s vetting process.

    THN is not a general contractor, construction manager, employer, broker, or agent of the Contractor.

  2. 2. Independent Contractor Relationship

    Contractor acknowledges that:

    • Contractor is an independently owned business.
    • Contractor is not an employee, franchisee, partner, joint venturer, or representative of THN.
    • Nothing contained in this Agreement creates an employer-employee relationship.

    Contractor shall remain solely responsible for operating its business.

  3. 3. Membership Benefits

    Upon approval, Contractor will receive membership benefits based upon the membership tier selected by Contractor.

    Benefits may include:

    • Listing within the Trusted Home Network directory
    • Referral opportunities
    • Access to homeowner requests
    • Access to online business training
    • Marketing resources
    • Coaching and consulting (if applicable)
    • Networking opportunities
    • Educational events
    • Business growth resources

    THN reserves the right to modify membership benefits at any time.

  4. 4. Membership Fees

    Contractor agrees to pay the monthly membership fee associated with the selected membership level.

    Membership fees:

    • are due monthly in advance;
    • are automatically renewed unless cancelled;
    • are non-refundable except as required by law.

    Failure to make payment may result in suspension or termination of membership.

  5. 5. No Guaranteed Leads or Revenue

    Contractor understands and agrees that THN makes no guarantees regarding:

    • number of referrals;
    • homeowner inquiries;
    • project opportunities;
    • sales;
    • revenue;
    • profits;
    • business growth;
    • return on investment.

    Success depends upon many factors outside THN’s control.

  6. 6. Contractor Responsibilities

    Contractor agrees to:

    • Maintain all required licenses.
    • Maintain required insurance coverage.
    • Maintain all certifications required by law.
    • Comply with all federal, state, and local laws.
    • Respond professionally and promptly to homeowners.
    • Provide quality workmanship.
    • Honor written proposals and contracts.
    • Maintain ethical business practices.
    • Maintain accurate business information with THN.

    Contractor shall immediately notify THN of:

    • license suspension;
    • insurance cancellation;
    • criminal charges affecting business operations;
    • bankruptcy;
    • ownership changes;
    • business closure.
  7. 7. Vetting Requirements

    To become and remain a THN Contractor, Contractor agrees to participate in THN’s vetting process.

    The vetting process may include:

    • Professional license verification
    • Insurance verification
    • Criminal background checks
    • Better Business Bureau review
    • Online reputation review
    • Reference checks
    • Customer complaint review
    • Identity verification
    • Additional screening as deemed appropriate by THN

    THN may require updated documentation at any time.

  8. 8. Use of THN Name and Logo

    Contractor may use the designation:

    “Trusted Home Network Vetted Contractor”

    only while Contractor remains an active member in good standing.

    Contractor may not:

    • alter THN logos;
    • imply ownership of THN;
    • suggest endorsement beyond active membership;
    • use THN trademarks after membership terminates.
  9. 9. Homeowner Relationships

    All agreements entered into between Contractor and any homeowner are solely between those parties.

    THN:

    • is not a party to any contract;
    • does not negotiate pricing;
    • does not supervise work;
    • does not collect payments (unless separately agreed);
    • does not provide warranties;
    • is not responsible for project performance.
  10. 10. Insurance

    Contractor shall maintain:

    • General Liability Insurance
    • Workers’ Compensation Insurance (when legally required)
    • Automobile Insurance (if applicable)

    Contractor agrees to provide proof of insurance upon request.

  11. 11. Indemnification

    Contractor agrees to defend, indemnify, and hold harmless Trusted Home Network, its owners, officers, employees, affiliates, agents, and representatives from any claims, lawsuits, damages, losses, liabilities, costs, or attorney’s fees arising out of:

    • Contractor’s work;
    • Contractor’s employees;
    • Contractor’s subcontractors;
    • injuries;
    • property damage;
    • contract disputes;
    • warranty claims;
    • negligence;
    • violations of law.
  12. 12. Limitation of Liability

    To the fullest extent permitted by law, THN shall not be liable for:

    • lost profits;
    • business interruption;
    • lost opportunities;
    • consequential damages;
    • homeowner disputes;
    • contractor disputes;
    • defective workmanship;
    • project delays;
    • payment disputes.

    THN’s maximum liability under this Agreement shall never exceed the total membership fees paid by Contractor during the previous three (3) months.

  13. 13. Confidential Information

    Contractor agrees not to disclose confidential THN information including:

    • homeowner information;
    • HOA contacts;
    • pricing models;
    • membership materials;
    • coaching resources;
    • business strategies;
    • proprietary systems.
  14. 14. Non-Solicitation

    During membership and for twelve (12) months following termination, Contractor shall not knowingly solicit THN employees or independent consultants for employment without THN’s written consent.

  15. 15. Reviews and Quality Standards

    THN may monitor:

    • homeowner feedback;
    • complaint history;
    • responsiveness;
    • professionalism;
    • quality of workmanship.

    Repeated customer complaints or conduct inconsistent with THN standards may result in suspension or termination.

  16. 16. Suspension or Termination

    THN may suspend or terminate membership immediately for:

    • non-payment;
    • fraud;
    • criminal conduct;
    • misrepresentation;
    • license suspension;
    • insurance lapse;
    • repeated homeowner complaints;
    • unethical conduct;
    • violation of this Agreement.

    Contractor may cancel membership by providing thirty (30) days’ written notice.

  17. 17. Intellectual Property

    All THN materials, branding, forms, software, website content, training materials, coaching materials, and business systems remain the exclusive property of THN.

  18. 18. Dispute Resolution

    The parties agree to first attempt to resolve disputes through good-faith negotiation.

    If unresolved, disputes shall be submitted to mediation before litigation.

    Venue shall be in the State of Florida unless otherwise agreed.

  19. 19. Governing Law

    This Agreement shall be governed by the laws of the State of Florida.

  20. 20. Entire Agreement

    This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions and agreements.

    No amendment shall be valid unless in writing and signed by both parties.

Acceptance

By signing below, Contractor acknowledges that they have:

  • Read this Agreement in its entirety.
  • Understood its terms.
  • Agreed to comply with all THN Membership requirements.
